Eluse ("The Company") offers services (the "Eluse Services") through which you can sell certain luxury items (the "Products") after receiving an "offer" from Eluse by identifying your Product or completing check-out on the Eluse Website. You must agree to abide by the following terms in order to use the Eluse Services and/or the Eluse Websites.Eluse is an independent company not affiliated with any designer brand.
BY SETTING UP AN ACCOUNT, OR BY USING Eluse'S WEBSITE, YOU SIGNIFY THAT YOU AGREE TO THE FOLLOWING TERMS AND CONDITIONS, WHICH MAY BE AMENDED AT ANY TIME BY POSTING THE AMENDED TERMS ON THE Eluse WEBSITE. ANY AMENDED TERMS WILL BE AUTOMATICALLY EFFECTIVE IMMEDIATELY AFTER THEY ARE POSTED. Eluse reserves the right to terminate or suspend your use of the Eluse Website and/or the Eluse Services if you do not comply with this Agreement or any other Eluse policy or procedure, or for any other reason we determine, in our sole discretion.
About These Terms. These terms govern any offer that you receive to sell your Product to or through Eluse. These terms, the terms that govern your use of Eluse’s website ("Eluse Website"), the Eluse Services and any and all applications included therein, the terms of Eluse’s privacy disclosures and any supplemental terms or policies that accompany a specific transaction, feature or application collectively make up an agreement between you and Eluse (the "Agreement"). You acknowledge that this Agreement is in electronic form and has the same force and effect as an agreement in writing. In this Agreement, the term "you" or "your" means an individual or entity exercising rights under this Agreement, and the term "Eluse," "we" or "us" means Eluse and its affiliates and subsidiaries.
Requirements. In order to complete the sale of your Product to or through Eluse or to complete any other transaction with Eluse, you must: (i) Order a bag or a pickup; (ii) Provide true, up to date and accurate account information about yourself and any Product you submit to us; (iii) Comply with all terms and conditions of this Agreement; (iv) Comply with all applicable laws and regulations, including all import and export laws; and (v) Have the legal capacity to enter into agreements and to convey title and interest in any Product that you submit to us. In order to receive payments for any Products we purchase from you, you must provide us with information including a valid email address at which you are able to receive email, a valid postal address at which you are able to receive mail, and your first and last name. Eluse shall not be responsible for communication errors should your contact information be inaccurate or incomplete. You are responsible for ensuring that you can receive emails from Eluse, and Eluse is not responsible for any emails that were not received by you because they were blocked or filtered as spam. You understand and agree that if you fail to provide us with accurate and up to date information about yourself: (a) we will not be responsible for any misapplied payments or payments sent to a wrong address, and (b) any unclaimed funds may be subject to collection by governmental authorities under applicable unclaimed funds and escheat laws. You agree that we have no obligation to you if any of your unclaimed funds are turned over to governmental authorities.
Product Eligibility. Eluse determines, in its sole discretion, which Products are eligible for purchase by or through theEluse Services and for which eligible Products Eluse will provide an offer.Eluse may terminate the eligibility of certain Products at any time and without advanced notice, but such termination will not affect any Products for which you have already accepted an offer. Unless already accepted by the customer, all offers by Eluse automatically expire five (5) days following the date that they were issued.
Condition Defined. Eluse only accepts items in excellent condition. There should be no noticeable flaw, no functional nor physical problem. DO NOT SEND ITEMS WITH VISIBLE WEAR AND TEAR NOR ITEMS WITH SIGNS OF USE. Do not send items that are non-operative or with physical damage that inhibits use. The above definitions are broad guidelines. More specific condition definitions specific to the category and/ or type of Product may be included on the Eluse Website offer screen and serve as the effective condition definition for that product. Condition definitions are subject to change at Eluse's discretion. If you are uncertain about your Product’s condition, please seek guidance by contacting Eluse’s customer care. Any Product deemed not authentic by Eluse or with condition that has been misportrayed will only be returned to you against a HKD700 fee. If you do not pay the HKD700 return fee, the Product will remain the property of Eluse. This HKD700 return assurance fee will be netted from any payment due by Eluse to the seller
Product Valuation. All offers will be based on Eluse's own determination of the Product value in reliance on the accuracy of the information you supply us. Eluse will use its discretion to determine the Product value, weighing factors that may include the Product's model, functionality and condition and whether necessary Product accessories have been provided by you. Upon receiving an offer, you have the option of accepting or rejecting that offer. Acceptance indicates you are willing to provide your Product to Eluse at the offered price. If you do not accept Eluse’s offer, the specific transaction expires. If after rejecting the offer you change your mind and want to accept the offer, you will need to open another transaction with us at which point, assuming the Product is still eligible for purchase, the new offer may be different as Product prices are subject to change.
Non-Binding Offers. All Offers from Eluse to purchase submitted Products are non-binding and indicative only. Eluse reserves the right, at its sole discretion and at any point in time, to cancel any Offer. In case of cancellation by Eluse, return assurance fees of HKD700 per Order still apply. In case of multiple items being returned, the return assurance fee will only be charged once (HKD700). If you do not pay the HKD700 return fee, the Product will remain the property of Eluse. This HKD700 return assurance fee will be netted from any payment due by Eluse to the seller.
Fitness for Sale. You must have all right, title, and interest in any and all Products you seek to sell to Eluse. The Products and the sale and shipment of such items to Eluse: (a) must comply with all applicable laws, statutes, ordinances, including without limitation all import and export laws, (b) may not infringe on third party intellectual property rights (including copyrights, trademarks, patents, trade secrets or other proprietary rights), and (c) shall not be counterfeit, stolen, or fraudulent. You represent and warrant that the Products are free of any liens or encumbrances. By using the Eluse Services, you agree to indemnify Eluse from all claims or losses sustained by Eluse as a result of any breach of these representations and warranties.
Sending Eluse Your Product. When packaging your Product, be sure to include all materials included in your description when we calculated your offer. This may include particular accessories. Failure to include any items you told us about when the offer was calculated, or sending us a Product which does not match your original description, may impact the final value of your Product and may result in a revised offer.
Product Inspection; Offer Recalculation. Your Product must be received by Eluse within fifteen (15) days after you order the prepaid box or a pickup on the Eluse Website or drop your product off at one of our store locations (the "Delivery Period") or the offer shall automatically expire. Packing and shipping recommendations provided to you by Eluse should be followed in order to avoid possible damage to or loss of the Product in transit. Eluse will inspect all Products that are received. Eluse has the option to accept or reject the Product, including without limitation, to reject any Product not conforming to the description you provided to us, any Product modified in such a way that it no longer conforms to the original factory specifications, any Product no longer complying with applicable laws or regulations (e.g. FCC rules, etc.) and/or any Product damaged or lost in transit. If Eluse rejects the Product for any of these reasons, the original offer automatically expires and is rescinded. Eluse reserves the right to revoke the original offer and provide a revised offer for the Product if: (a) the Product and/or materials are not as described,(b) the Product is received by Eluse after the Delivery Period, and/or (c) Eluse receives Product(s) that are different from those identified when your offer was calculated
Recalculated Product Offers after Inspection. In the event Eluse recalculates the offer it provided for the Product after it has been received and inspected, as described above, you shall have the option of accepting or rejecting the new offer. If you accept the new offer, you will be paid in normal course and in accordance with these service terms. If you reject the new offer, Eluse will return the Product to you, against a HKD700 fee, at the address from which it was originally sent.  Eluse will give you a period of five (5) days after Eluse presents you with are calculated offer via email at the address you provided to accept or reject the new offer (the "New Offer Period"). Eluse will also remind you of the outstanding new offer one or more times during the New Offer Period. However, if the new offer is neither affirmatively accepted nor rejected by you during the New Offer Period, the new offer will be deemed to have been accepted by you and you will be paid the new offer price in the normal course and in accordance with these service terms. For the avoidance of doubt, your acceptance of the original offer and/or any new offer is final and you may not change your mind later about accepting such offer.
Releasing Rights to Product. Once you send Eluse your Product,  Eluse cannot and does not guarantee that it will be able to honor any request for return of the Product. Of course, if Eluse rejects the Product or you do not accept any new offer for the Product (the "Return Circumstance"), your Product will be returned to you as set forth in the previous sections, against a HKD700 fee.
Authentication. Eluse only accepts fully authentic Products. DO NOT SEND UNAUTHENTIC PRODUCTS. Once received, our team of experts will go through a thorough authentication process. Our experts have multi year experience in luxury fashion and in the brands carried by Eluse. They are extremely knowledgeable and will find out counterfeits. IF YOUR PRODUCT IS DEEMED UNAUTHENTIC, AND AS PER THE REQUIREMENTS OF THE LAWS OF THE UNITED STATES, WE CANNOT AND WILL NOT ACCOMMODATE ANY RETURN, EVEN AGAINST A FEE. The Product will be retained by Eluse and destroyed within one month.
Risk-Of-Loss.
Sellers: You remain responsible for the risk-of-loss for the Products until delivery of the same to Eluse. You are responsible for any damage that may occur to your Product while in transit. Eluse is responsible for risk-of-loss when it opens the packaging containing your Product and ceases in the event Eluse returns your product to you for any reason. For the avoidance of doubt, in such an event, risk of loss will be transferred to you once  Eluse delivers the package to the carrier for return to you and you will bear the risk-of-loss while the Product is in transit. From time-to-time Eluse reserves the right to make an exception to this policy and bear the risk-of-loss at its sole discretion. Any and all packaging and/or collateral is not covered by Eluse for any risk of loss.
Buyers: Eluse is responsible for the risk-of-loss until the Products are delivered by our designated common carrier to the shipping address you selected at checkout. Risk-of-loss is transferred from Eluse to you upon proof of delivery. You may not request the carrier to reroute or divert any shipment; all shipments must be delivered to the shipping address you selected at checkout. Any attempt to do so will immediately release Eluse of any risk-of-loss and/or other liability in connection with the Products, and you will bear all risk-of-loss for the Products.
Returns: You remain responsible for the risk-of-loss for the Products until delivery of the same to Eluse. You are responsible for any damage that may occur to the Products while in transit. Rebag is responsible for risk-of-loss when it opens the packaging containing your Products and confirms it is the same item and in the same condition that we shipped to you upon fulfillment of your original order. From time-to-time Eluse reserves the right to make an exception to this policy and bear the risk-of-loss at its sole discretion.
Passing of Title. Title to the applicable Product passes to Eluse upon Eluse’s acceptance of the Product for the original offer or the new offer, as applicable. If there is a Return Circumstance, title shall not pass and shall remain with you.
Non-Transferable. Any offer by Eluse for your Product is non-transferable and not redeemable for any other consideration other than what is offered by Eluse.
Import and Export Laws. You agree to comply fully with all import and export laws, regulations, and requirements of Hong Kong, as well as any applicable foreign government authorities. You shall not directly or indirectly transfer or deliver any Product to Eluse without obtaining the necessary authorizations, clearances, and documentation as required by the relevant jurisdictions.You bear full responsibility for, and assume all costs relating to, compliance with such laws and regulations, including but not limited to valuation, classification, customs declaration, and duties applicable to the import or transfer of any goods.For compliance and risk management purposes, Eluse does not accept any products that originate from or are associated with the following high-risk countries or regions, including but not limited to: Cuba, Iran, North Korea, Sudan, Syria, and any other territories subject to international sanctions or flagged for elevated geopolitical risk.
Eluse reserves the right to reject, return, or request additional documentation for any Product it reasonably suspects to be associated with a restricted source, without bearing any liability to the sender.
terrorists and narcotics traffickers. You may not offer or provide to Eluse for sale, any Products that would violate the provisions of this Section.
Promotions. From time to time, and at Eluse's sole discretion, Eluse may offer promotional programs as an incentive to customers. Promotions applicable to payments are applied as an increment to the final value of a customer's Product, but they are not considered a change in that final value. Promotional programs have explicitly defined terms, including but not limited to, expiration, usage per person and per transaction, and other limitations and restrictions. Unless otherwise stated, promotions must be applied by you before checkout. For the avoidance of doubt, once checkout is completed, promotions cannot be applied to the same transaction. Eluse reserves the right, in its sole discretion, to cancel or refuse promotions.
Cancellation Policy. Cancelation requests by customers can only be made within one hour of the order being placed. All such notices need to be in writing by email. Beyond that all orders are final. Eluse reserves the right to cancel any order at any time, before or after payment is processed, for security, fraud review or any other reason.
Outlet Items - Final Sale. Items sold in condition “Outlet” are for Final Sale only and are not subject to Eluse’s standard return policy or cancelation policy. Outlet items may not be returned or refunded. Any return or refund of an ‘Outlet - Final Sale' item purchased from Eluse website or mobile application is made at Eluse's absolute and sole discretion, subject to applicable laws.
Customer Accounts.Eluse reserves the right at any time to temporarily or permanently remove accounts. In particular in case of patterns of unreasonable number of returns or cancellations, we reserve the right at our sole discretion to restrict or refuse that client’s access
Eluse Infinity. Eluse offers customers the option of buying back previously purchased Eluse items for Eluse Credit valued at at least 70%, 60% or 50% of the original purchase price if exchanged within 3, 6 or 12 months, respectively, from the original purchase date. Eluse Infinity only applies if the item was purchased on www.rebag.com, on the Eluse mobile app or in a Eluse store location. Outlet - Final Sale’ items are not eligible for Eluse Infinity buyback. The item being exchanged must be the exact same item in the same condition as when it was purchased from Eluse, and it must be submitted for exchange no later than 12 months after the original purchase date. Accuracy of all Information. Eluse makes every effort to ensure the accuracy of all information you receive in relation to your Product. From time to time, however, there may be typographical errors, technical inaccuracies, pricing or other errors or omissions. As such, Eluse reserves the right, at any time prior to payment, to: (a) Correct an error. (b) Change the offer. In the event the Product has already been sent to Eluse, the changed offer will become a New Offer subject to the processes set forth in previous sections. Otherwise, the changed offer will be re-issued, which you may accept or reject. (c) Void a transaction. If the Product was already sent to Eluse, Eluse will be deemed to have rejected the Product resulting in a Return Circumstance.
Privacy. We view protection of users' privacy as a very important community principle. When you use the Eluse Web Sites and the Eluse Services, we collect information about you. You agree that we may collect and use your information in accordance with the Eluse Privacy Policy as the same may be updated from time to time. If you object to your information being transferred or used in this way please do not use our Website or services.
Electronic Notices and Transactions. You agree to transact with us electronically, including without limitation, agreeing to terms and conditions or offering to sell your Product by electronic means. You authorize Eluse to provide you with terms and important notices about Eluse and your transactions to an email address you provide to us. It is your duty to keep your email address accurate and up to date and to maintain a valid email address and to ensure that emails we send you are not filtered or stopped by spam filters or other types of email blocking functionalities. If you no longer desire to transact electronically with us, you may no longer use the Eluse Website.
Access. You are responsible for obtaining at your own expense all equipment and services needed to access and use the Eluse Websites and the Eluse Services, including all devices, Internet browsers and Internet access. If you access the Eluse Website and the Eluse Services through a mobile or wireless device, you are responsible for all fees that your carrier may charge you for data, text messaging and other wireless access or communications services.
Use of Services. By using Eluse Website, you agree not to (i) access any of the Services by any means (including, without limitation, by use of scripts, web crawlers or similar methods) other than through the user interface provided by Eluse; and (ii) engage in any other activity that interferes with or disrupts the Services or performance of the Eluse Website.
No Warranties. WE PROVIDE THE REBAG SERVICES AND WEBSITE "AS IS", "WITH ALL FAULTS," AND "AS AVAILABLE", WITHOUT EXPRESS OR IMPLIED WARRANTIES OF ANY KIND. WE DISCLAIM ANY IMPLIED WARRANTIES OF MERCHANTABILITY, ACCURACY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT AND THE IMPLIED CONDITIONS OF SATISFACTORY QUALITY. WE MAKE NO REPRESENTATIONS THAT YOUR TRANSACTIONS WITH REBAG WILL MEET YOUR REQUIREMENTS.
Limited Liability. IN NO EVENT SHALL REBAG, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS OR CONTRACTORS BE LIABLE FOR ANY COMPENSATORY, DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, LOSS OF DATA, INCOME OR PROFIT, LOSS OF OR DAMAGE TO PROPERTY, OR ANY CLAIMS OF YOU OR OTHER THIRD PARTIES WHATSOEVER WITH RESPECT TO YOUR TRANSACTIONS WITH REBAG UNDER THIS AGREEMENT. Some states do not allow the exclusion or limitation of liability of consequential or incidental damages, so the above exclusions may not apply to all users; in such states liability is limited to the fullest extent permitted by law.
Indemnity. You agree to indemnify, defend, and hold harmless Eluse, its parent, subsidiaries, affiliates, officers, directors, employees, agents, representatives, vendors and distributors from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys’ fees) that such parties may incur as a result of or arising from your (or anyone using your account’s) violation or breach of any terms under this Agreement. We reserve the right to assume the exclusive defense and control of any matter otherwise subject to indemnification by you and, in such case, you agree to cooperate with our defense of such claim.
Entire Agreement/No Waiver. This Agreement constitutes the entire agreement of the parties with respect to the subject matter hereof. The captions are used only as a matter of convenience and are not to be considered a part of this agreement or be used in determining the intent of the parties to it. No waiver by Eluse of any breach or default hereunder shall be deemed to be a waiver of any preceding or subsequent breach or default.
Correction of Errors and Inaccuracies. The Eluse Website and any correspondence related to a transaction may contain typographical errors or other errors or inaccuracies and may not be complete or current. Eluse therefore reserves the right to correct any errors, inaccuracies or omissions and to change or update the Content at any time without prior notice. Eluse does not, however, guarantee that any errors, inaccuracies, or omissions will be corrected.
Modification. Eluse reserves the right to modify this Agreement at any time. If you do not agree to the changes, you may discontinue using the Eluse Websites and/or the Eluse Services. Your continued use of any Eluse Website and/or Eluse Services after any such changes take effect constitutes your acceptance to such changes. Each time you submit a Product for sale to Eluse, you reaffirm your acceptance of this Agreement as in effect at the time of such use. You are responsible for reviewing this Agreement each time you use the Eluse Website. The last date this Agreement was revised is set forth below. Terms and conditions modifying the Agreement are effective immediately upon posting.
Applicable Law and Venue
This Agreement, and the terms of sale and transfer of title of your product, shall be governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (“HKSAR”) of the People’s Republic of China. No conflict of laws or provisions from any other jurisdiction shall apply to these Terms and Conditions. You agree that any action at law or in equity arising out of or relating to these Terms and Conditions shall be filed only in the courts of the HKSAR, and you hereby irrevocably and unconditionally consent and submit to the exclusive jurisdiction of such courts over any suit, action, or proceeding arising out of these Terms and Conditions. All disputes must be adjudicated in the English or Chinese language.
Accessibility Policy. The Company seeks to lower the technical barriers to accessibility on our website for persons with disabilities. We understand that individuals with varying disabilities may seek information on our website, and it is our goal to provide such individuals access to the content, features and functionality available through our website. With the above in mind, we have taken a number of steps to make our website accessible. In addition, through regular testing of our website, we will continue to implement commercially reasonable changes to improve accessibility to our website content, features and functionality. Trade terms and Conditions
Terms and Conditions for the Eluse Trade program offered on the Eluse.com website and Eluse retail locations in Hong Kong
The Trade-in service is offered and provided by Eluse only. By using the Eluse Trade service and performing a trade-in transaction, you hereby agree to the following:
Ownership and Authority to Trade-In
You represent and warrant that you are the sole and rightful owner of the item(s) you have offered for trade-in and have full authority to sell or otherwise dispose of the item(s). You further represent and warrant that the item(s) are not counterfeit or stolen.
Accuracy of information
You agree that all information you provide about the item(s) for trade-in, as well as information you have provided or will provide about yourself, is true, accurate, and complete.
Prompt Shipment and Promotional Offers
You agree to promptly deliver or arrange shipment of the trade-in item(s) to Eluse or an authorised Eluse location, and acknowledge that promotional offers related to trade-ins may be subject to change or withdrawal at Eluse’s sole discretion.
Final Determinations
You acknowledge that there may be instances when Eluse revises the trade-in value of the item if the inspection results differ from what was described at the time of the original offer. You agree that the final trade-in value of your item is subject to Eluse’s inspection of the item and that all final determinations are made at Eluse's sole discretion.
If your revised item value is lower than the initial offer, you will have 5 days to accept or decline the updated offer and may be required to pay a trade-in adjustment fee. If you do not accept or decline the updated offer and do not pay the trade-in adjustment fee within 5 business days, Eluse will have the right to decide in its sole discretion whether to consider the offer accepted and finalize the transaction or may cancel the full Clair Trade order. In that case items that were bought will be refunded and relisted for sale by Eluse. Items that you send in for the trade will be returned to you.
Final Transaction
You acknowledge and agree that the trade-in transaction is final and cannot be cancelled by you unless the quoted value has been revised and declined by you.
Ownership
At completion of the review process and once the items bought are being fulfilled by Eluse, ownership of the items traded in transfers toEluse.
Trade-in sales tax
Eluse does not charge sales tax for transactions within the Hong Kong Special Administrative Region (“HKSAR”), as no sales tax is imposed locally. For items shipped outside the HKSAR, the recipient is responsible for paying any applicable sales tax, value-added tax (VAT), goods and services tax (GST), customs duties, or other import charges as required by the laws of the destination country or region.
Cancellation
Eluse has the right to cancel any trade-in offer in its sole discretion at any time before the payment is issued. Eluse will return the goods to the customer should they have already been shipped.

CONSIGNMENT TERMS AND CONDITIONS
Consignment
Consignor consigns the items to Company and grants to Company, and Company hereby accepts from Consignor, the exclusive right to offer the Items for sale to potential buyers and to sell (and to execute any bills of sale or other documents needed to consummate such sales) and list the Items in the manner the Company shall choose consistent with the manner in which it has historically done business.
Item Acceptance
Company reserves the right to accept or decline any item for consignment at its sole discretion. If we decide to reject an item it will be returned to you.
Term
The term of the consignment shall commence on the Effective Date, until either:
The Payout is sent to the Consignor for a sold item
The item is returned to the consignor

In any event the term of the consignment shall end no later than 365 days from the Effective Date. Effective Date shall be the date that the consignor approved the Consignment Agreement in the Eluse website or application. Such approval shall be in effect when the consignor clicked the terms and conditions’ acceptance checkmark in the Consignment Agreement user experience on the Eluse platform.
Commission
Eluse will charge a commission equal to ten percent (10%) of the sale price quoted by the platform for the consigned item. The remaining ninety percent (90%) of the sale price will be paid to the consignor after the item is sold. The sale price is determined and published by Eluse at its sole discretion.
Sales Price and Adjustments
Due to market fluctuations, Eluse may, at its discretion, propose a price adjustment to align with current market trends. If the consignor agrees, the adjusted price will take effect and the item will be offered for sale at the new price. If the consignor does not agree, the item will continue to be offered for sale at the original agreed price.

Return Fee
The Return Fee is defined as the sum of 1) $50 Return Shipping Fee, and 2) the Return Processing Fee. The Return Processing Fee is defined as 3% of the Item’s Minimum Payout, with a maximum of $300.
For the avoidance of doubt, the Return Fee will have a maximum of $350. A Return Fee is due to Rebag if the Consignor wishes to get the Item returned before it was sold by Eluse. The Return Fee shall be waived starting from the date the Company has notified the consignor that the Initial Minimum Payout cannot be reached, up to any date thereafter (but no later than Term of the consignment agreement).
Payment
Upon completion of the sale, the payout will be deposited into the payout account you have designated and linked to your Eluse platform account. Typically, the sale will be finalized within 25 days after the item is sold, but the exact timing may vary. No payout is guaranteed until the sale is finalized. For the avoidance of doubt, if the sale is not finalized, the item will be relisted, and the consignor shall not be entitled to any payout.
Ownership and Title
The consignor warrants and represents that items consigned to Eluse are the legal property of the consignor, and that the consignor holds clear and unencumbered title to such items. Consignor further guarantees that there are no liens, claims, judgments or other encumbrances of any nature against the consigned items, including all rights of sale and transference. In the event that any dispute or challenge arises regarding the title or ownership of consigned items, the consignor will promptly address and resolve such issues, bearing any associated costs and responsibilities.
Consignor grants Eluse the exclusive right of possession and control over the consigned items for the duration of the consignment period for the purpose of facilitating the sale or promotion of the consigned items in accordance with the terms outlined in these Terms of Service. Consignor does not confer upon Eluse any other legal rights, including but not limited to ownership of the consigned goods, retaining ownership of the consigned items throughout the consignment period unless a sale is made by Eluse as outlined in these Terms of Service. Consignee hereby acknowledges that it takes possession of the consigned goods only on a consignment basis and it does not acquire any property right or security interest in such Consigned items.
Risk of Loss
In the event of a loss while consigned items are in Eluse’s possession pursuant to the terms of the consignment agreement, Eluse will only cover the loss associated with the consigned items and Company is responsible only to repay to the consignor the Minimum Payout. For the avoidance of doubt, Eluse will only cover any risk-of-loss after a consigned item is received, inspected, and confirmed to meet Eluse’s authentication and quality standards pursuant to  Eluse’s normal business practices. From time-to-time Eluse reserves the right to make an exception to this policy and bear additional risk-of-loss at its sole discretion. Should the Company decide to cover additional risk-of-loss, a notification will be sent to the consignor to advise of such exception. Any and all packaging and/or collateral is not covered by Eluse for any risk of loss. Please refer to Eluse’s risk-of-loss section in the terms of service for additional details.
Premises
Eluse, in its sole discretion, will store consigned items in any of its locations including its various retail stores, where the consigned items may be displayed for sale to the general public.
Sales channels and listings
Eluse reserves the right to offer the consigned items for sale through any sales channel  Eluse deems appropriate, in its sole discretion. These channels may include, but are not limited to, online marketplaces, live or online auctions, and online live stream sales and any other third party it deems necessary.
Photographs and Videos
Eluse has the right to photograph, video or otherwise reproduce images of the consigned items in whatever way Eluse deems commercially appropriate and as allowed by law. Consignor agrees that Eluse will retain all copyright and intellectual property rights to the photographs, video, or other materials that Eluse creates of the consigned items.
No Cancellation of a consignment agreement after the item is sold
The consignor is not able to cancel or amend a consignment agreement once the item is sold by  Eluse. Title to the consigned items passes from consignor to Eluse’s customer immediately upon the sale of the item, extinguishing consignor’s right of ownership. Eluse will issue payment to the consignor in accordance with the consignment agreement.
Eluse CREDIT
Eluse Credit Acceptance
If you accept ' Eluse Credit' for your sell order, your payout will be deposited as Rebag Credit into your Eluse account.
Usage
Eluse Credit can be used on Eluse to purchase products and other services such as shipping.
No Cancellation
Once accepted, payout in the form of Eluse Credit cannot be converted back to a cash payout and cannot be exported outside of Eluse.
Incentives
From time to time, we may, in our sole discretion, run promotional programs or offer incentives pertaining to customers who opt to receive ' Eluse Credit' payout.
Expiration
All Eluse Credit shall expire after two (2) years. Any Eluse Credit unused by then will be cancelled and forfeited.
WALLET TERMS AND CONDITIONS
Cash Offer & Seller Funds Deposit
If you accept the “Cash Offer” for your sell order, your payout will be settled in US dollars and deposited into your designated payout account linked to your Eluse platform account, which may include an international bank account or PayPal account.
You will receive the seller funds directly via your linked payout account. Seller funds will only be disbursed to the payout account that has been pre-linked and verified in your Eluse platform account, and your account details must be current and valid. We will transfer the payout to your international bank account or PayPal account as per your selection
Security
You are responsible for maintaining the security of all passwords, codes, or other login credentials used to access your Eluse account and the related Payment Services and for any transactions made or actions taken using your Eluse account. You must keep your mailing address, email address and other contact information current in your Eluse profile. If you become aware of an unauthorized payment transaction or of a delayed or incorrectly executed transaction, you must notify us immediately by contacting our customer service representative.
Holding Funds in your Seller Funds Account
Any seller funds reflected in your payout account linked to the Eluse platform represent unsecured claims against Eluse. Seller funds are not protected by the Hong Kong Deposit Protection Scheme or any other deposit insurance scheme. For the avoidance of doubt, in the event of liquidation or insolvency, repayment of seller funds will be subject to the debt priority rules under applicable law. Eluse reserves the right to suspend the usage and/or transfer of seller funds where necessary until all obligations under law or contract have been fulfilled. You agree to waive any right to take legal action in relation to such suspension.
Seller Funds Incentives
From time to time, we may, at our sole discretion, run promotional programs or offer incentives relating to seller funds. For example, we may offer incentives to sellers who choose to maintain a seller funds balance in their account, by periodically increasing such balance in accordance with a pre-disclosed amount or percentage. Sellers may choose to use such incentives for purchases on the Eluse platform or to withdraw them together with their initial payout. Any incentive payout is not covered by the Hong Kong Deposit Protection Scheme or any other deposit insurance scheme.
Eluse also reserves the right to forfeit any seller funds that have remained unused for more than 12 months without prior notice.
Changes to Terms
Eluse reserves the right to change or modify these Terms & Conditions, any policy, FAQ, or guideline relating to seller funds incentives, in whole or in part, at any time and such changes will take effect immediately upon being published on the platform without prior notice.
